PLEASE READ THESE NERDWALLET REWARDS SWEEPSTAKES OFFICIAL RULES (“OFFICIAL RULES”) CAREFULLY, AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR RIGHT TO BRING A LAWSUIT IN COURT TO RESOLVE ANY DISPUTES ARISING HEREUNDER. These Official Rules state that any dispute between you and NerdWallet regarding the NerdWallet Rewards Sweepstakes must be resolved in binding arbitration or small claims court on an individual basis, and in any event may not proceed on a class basis or otherwise seek class-wide relief.

  1. Sponsor

These are the Official Rules for the NerdWallet Rewards Sweepstakes (individual and plurally, the “Sweepstakes”).  The sponsor and administrator of this Sweepstakes is NerdWallet, Inc. 875 Stevenson Street, San Francisco, CA 94103, U.S.A, (“NerdWallet” or “Sponsor”).  Sponsor’s Terms of Service and Privacy Policy govern the operation of this Sweepstakes and are hereby incorporated herein by reference.

  1. Eligibility

The Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia (the “Territory”) who are at least the age of majority in the entrant’s state of residence at the time of entry.  Employees of Sponsor, its parent, subsidiaries, affiliates or agencies and suppliers (individually “Entity” and collectively, “Entities”) and the immediate family (i.e. spouse, parents, siblings and children) and household members of each Entity are not eligible to participate in the Sweepstakes. All applicable federal, state, and local laws and regulations apply. Void where prohibited, and void outside the Territory. Participation constitutes an entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which shall be made in Sponsor’s sole discretion are final and binding in all matters related to the Sweepstakes.

  1. Timing and Deadlines

The Sweepstakes will be conducted as eight (8) SEPARATE SWEEPSTAKES with separate start and end dates (collectively “Sweepstakes Periods” or individually “Monthly Sweepstakes Period”).  Each Monthly Sweepstakes Period begins at 12:00 am Pacific Time (“PT”) on the first of the month and ends at 11:59 PT on the last day of the month.  Sponsor’s computer is the official time-keeping device for the Sweepstakes.

Sponsor reserves the right to cancel the Sweepstakes at any time and for any reason in its sole discretion.

  1. How to Enter

There are two ways to enter the Sweepstakes:

Method 1:  

  1. Become a NerdWallet Member.  To enter the Sweepstakes you must a registered member of NerdWallet.  If you are not already a registered member, please visit: NerdWallet membership is free.
  2. Use to Earn Points. Take Qualifying Actions on our website to earn points, including making progress on your financial goals.  For a complete list of Qualifying Actions see Section 5 “How to Earn Points”, below.
  3. Points = Entries into Sweepstakes.  At the end of each Monthly Sweepstakes Period, your points are tallied and converted into Entries, which are automatically entered into the Sweepstakes at the end of each Monthly Sweepstakes Period. Ten (10) points equals one (1) Entry into the Sweepstakes, for a maximum of fifty (50) possible Entries during a Monthly Sweepstakes Period.  

Method 2:  


Mail-In Entry:  To received ten (10) Entries into a Monthly Sweepstakes Period without being a NerdWallet member or without taking any Qualifying Actions to earn Points, an eligible entrant may handwrite his/her complete name (no initials), valid email address, street address (P.O. Boxes not accepted), city, state, ZIP code, telephone number, and Entry Period on paper (“Mail-In Entry”) and mail it with sufficient postage to: NerdWallet Rewards Sweepstakes, P.O. Box 251328, West Bloomfield, MI 48325.  Entrants may submit up to five (5) Mail-In Entries per month, for a total of fifty (50) Entries during a Monthly Sweepstakes Period.

All Mail-In Entries must be postmarked no later than the End Date of the relevant Monthly Sweepstakes Period, and received on or before the Mail-In Entry Received By Date, as listed in Section 3, above, in order to be eligible for a Monthly Sweepstakes Period.  NerdWallet is not responsible for mis-addressed, mis-delivered, late-delivered or lost Mail-In Entries.

Mail-In Entries must be legibly hand-written.  Mechanical reproductions, postage-due, Mail-In Entries or sent in excess of the entry limits set forth below will not be accepted.  Mail-In Entries received without a verifiable and legible return address and email address will be deemed incomplete and not vaild entries. 

LIMIT: Limit fifty (50) Sweepstakes Entries per person, and per email address regardless of Entry Method. Any entry which exceeds this entry limit from the same email address will be disqualified at the discretion of the Sponsor.  Multiple participants are not permitted to share the same email address, and a single participant is not permitted to use multiple email addresses to exceed the per person limit of fifty (50) Sweepstakes Entries.  Normal Internet access and usage charges imposed by your online service may apply. Sponsor will not accept entries from email addresses Sponsor deems to be potentially harmful to Sponsor’s website.  Use of any automated system to participate is prohibited and will result in disqualification.  In the event of a dispute as to any registration, the authorized account holder of an email address used will be deemed to be the registrant or player.  An “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.  Each potential winner may be required to show proof of being the authorized account holder.

  1. How to Earn Points

Entrants earn points by taking qualifying actions during a Monthly Sweepstakes Period (the “Qualifying Actions”).  Some Qualifying Actions can only be completed once and will only earn points the first time the Qualifying Action is completed (“One Time Actions”).  Other Qualifying Actions are on-going or may be done more than once and may be used to earn points over multiple Monthly Sweepstakes Periods (“On-Going Actions”). Qualifying Actions may be added to or removed from future Monthly Entry Periods at the sole discretion of the Sponsor.    

Points can also be earned by taking On-Going Qualifying Actions such as making progress toward emergency fund savings and debt reduction goals that entrants set for themselves (“Emergency Fund Goals” and “Debt Reduction Goals”).  To earn points using Emergency Fund Goals and Debt Reduction Goals, entrant must choose and customize a goal, and link one or more third-party financial account(s) to NerdWallet’s Financial Account Access service. Terms and Conditions for Use of this service, including those of our partner Yodlee, Inc. apply. For every dollar saved for a Emergency Fund Goal or put toward reducing a debt in a Debt Reduction Goal, entrant will earn one point.  Emergency Fund Goals exclude Saving for Retirement and other Savings goals.  Point calculations for Emergency Fund Goals are based on the difference between the starting balance on the first day of the Monthly Sweepstakes Period and the ending balance as reflected in your Linked Account on the last day of the Monthly Entry Period.  Point calculations for Debt Reduction Goals are based on payments made during the Monthly Sweepstakes Period.  Monies deposited for Emergency Fund Goals or Debt Reduction Goals transferred into a Linked Account, but not yet reflected in the Account as of the last day of the Monthly Sweepstakes Period will not count toward points earned during that Monthly Sweepstakes Period, but will count toward the Monthly Sweepstakes Period in which they are reflected in the Account balance.   Points are tabulated and automatically entered into the Sweepstakes on the last day of the Monthly Sweepstakes Period.  Points earned during one Monthly Sweepstakes Period do not roll over to subsequent Monthly Sweepstakes Periods.  Sponsor is not responsible for any errors or omissions by entrant’s third party financial institution that may result in On-Going Qualifying Actions not being accounted for in any Monthly Sweepstakes Period.

Below is the current list of Qualifying Actions. Sponsor reserves the right to add to or remove Qualifying Actions from this list at any time, as well as the right to amend the points values assigned to any Qualifying Action. Changes to the Qualifying Actions list will not take effect during any Monthly Sweepstakes Period then in progress, but will take effect at the start of the subsequent Monthly Sweepstakes Period.

Each potential winner may receive one (1) of twenty-one (21) Prizes per Monthly Sweepstakes Period. Limit One (1) Prize per person. Prizes are as follows:

Additional terms and conditions may apply to gift card(s), including expiration dates; see front and back of gift card for disclosures.  The Grand Prize may be awarded as cash or a gift card at Sponsor’s sole discretion.  Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion.  Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason.  Winners are responsible for all taxes and fees associated with prize receipt and/or use.

  1.  Drawing and Winner Notification

Sponsor will select twenty-one (21) potential Sweepstakes winners per Monthly Sweepstakes Period in a random drawing of all eligible entries to be held on or about two weeks after the end of a Monthly Sweepstakes Period. Odds of winning will be determined by the number of eligible entries received.  Sponsor is not responsible for and shall not be liable for late, lost, or misdirected entries.  

Sponsor will notify the potential Sweepstakes prize winners by email to the address listed on the entrant’s NerdWallet Member Account or the Mail-In Entry.    It is the entrant’s obligation to notify the Sponsor in writing of any change of contact information.  Each potential winner will be required to respond to the winner notification within three (3) days of the time the notification is sent in order to claim his/her prize.  If the potential winner cannot be contacted or fails to respond within the required time period or fails to comply with any other term of these Official Rules, that potential winner forfeits the prize.  Winning is contingent upon fulfilling all requirements of these Official Rules.  In the event a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining entries from the applicable Entry Period.  Prizes will be fulfilled within 30 days after winner confirmation.

  1.  Winner Verification

Potential winners of this Sweepstakes are subject to verification by Sponsor.  Winners will be required to sign and return a declaration of eligibility and release of liability within the time frame specified by Sponsor.  Sponsor’s decisions are within its sole discretion and are final and binding in all matters related to the Sweepstakes. An entrant is not a winner of any Prize unless and until entrant’s eligibility, and/or compliance with these Official Rules has been verified and entrant has been notified that verification is complete.  If selected winner is ineligible or fails to timely return the completed and executed affidavit and release as required by Sponsor, prize may be forfeited and at the sole discretion of Sponsor, and an alternate winner may be selected.

  1.  Publicity

The acceptance of the Prize by a winner shall constitute and signify winner’s agreement and consent that Sponsor and its designees may use the winner’s full name, city, state, likeness, quotes, photo, submission, entry or prize information (collectively “Submission”) in any manner the Sponsor deems fit including, but not limited to, in connection with Sponsor’s exploitation of the Submission for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law.  

  1.  Release

By participating, entrant agrees to release and hold harmless the Sponsor and its respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property arising out of entrant’s participation in this Sweepstakes or receipt or use or misuse of any prize, as well as or any claim or cause of action based on publicity rights, infringement of intellectual property, defamation, or invasion of privacy arising from any materials entrant has submitted in connection with entrant’s participation in this Sweepstakes.

  1.  Limitations of Liability

Sponsor is not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the offer or administration of the Sweepstakes, including but not limited to errors in the advertising, Official Rules, selection and announcement of the winners and distribution of the prizes or the processing of entries; (5) any inability of any winner to accept or use any prize for any reason; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, provided that, if it is not possible to award another entry due to discontinuance of the Sweepstakes, or any part of it, for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

If, for any reason, the Sweepstakes is not capable of running as planned, Sponsor may, in its sole discretion, void any suspect entries and (a) cancel or terminate the Sweepstakes (or any portion thereof); (b) modify the Sweepstakes or suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; and/or (c) award the prize at random from among the eligible, non-suspect entries received up to the time of the impairment.  Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision

  1.   Disputes

1) Choice of Law. These Official Rules are governed by the laws of the State of California, without regard to conflict of law principles.  Subject to this Section 12, which provides that disputes are to be resolved through binding arbitration or small claims court, to the extent that any lawsuit or court proceeding is permitted hereunder, you and NerdWallet agree to submit to the exclusive personal jurisdiction of the state courts and federal courts located within San Francisco County, California, for the purpose of litigating all such disputes.  We operate the Services from our offices in California, and we make no representation that information and materials included in the Services are appropriate or available for use in other locations.

The parties acknowledge that these Official Rules evidences a transaction involving interstate commerce. Notwithstanding the provision in the preceding paragraph with respect to applicable substantive law, any arbitration conducted pursuant to the terms of this Agreement shall be governed by the Federal Arbitration Act (9 U.S.C. Secs. 1-6).

2) Dispute Resolution by Binding Arbitration. In the interest of resolving disputes between you and NerdWallet in the most expedient and cost effective manner, you and NerdWallet agree to resolve disputes through binding arbitration or small claims court instead of in courts of general jurisdiction (“Agreement to Arbitrate”). Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. Any arbitration under these Official Rules will take place on an individual basis; class arbitrations and class actions are not permitted. You acknowledge and agree that the arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that individual party’s claim(s). Any relief awarded cannot affect other users.

A. Claims To Be Resolved By Binding Arbitration. You and NerdWallet agree to arbitrate all disputes and claims between us. This agreement to arbitrate is intended to be broadly interpreted. It includes, but is not limited to: claims arising out of or relating to any aspect of the relationship between us, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory; claims that arose before these or any prior Official Rules; claims that are currently the subject of purported class action litigation in which you are not a member of a certified class; and claims that may arise after the termination of these Official Rules.

B. Exceptions. Notwithstanding Section 12.2(A), you and NerdWallet agree that no statement herein shall be deemed to waive, preclude, or otherwise limit either party’s right to (i) bring an individual action in small claims court; (ii) pursue enforcement actions through applicable federal, state, or local agencies where such actions are available; (iii) seek injunctive relief in any competent court of law; or (iv) to file suit in a court of law to address intellectual property infringement claims.

C. Arbitrator. Any arbitration between you and NerdWallet will be governed by the Commercial Dispute Resolution Procedures and the Supplementary Procedures for Consumer Related Disputes (collectively, “AAA Rules”) of the American Arbitration Association (“AAA”), as modified by these Official Rules, and will be administered by the AAA. The AAA Rules and filing forms are available online at, by calling the AAA at 1-800- 778-7879, or by contacting NerdWallet.

D. Notice and Process. A party who intends to seek arbitration must first send to the other, by certified mail, a written Notice of Dispute (“Notice”). The Notice to NerdWallet should be addressed to: NerdWallet, Inc., 875 Stevenson Street, 5th Floor, San Francisco, CA 94103 (“Notice Address”). The Notice must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought (“Demand”). If you and NerdWallet do not reach an agreement to resolve the claim within 30 days after the Notice is received, you or NerdWallet may commence an arbitration proceeding.

E. Fees. In the event that you commence arbitration in accordance with these Official Rules, NerdWallet will, at your request, reimburse you for your payment of the arbitration filing fee, unless your claim is for greater than $10,000, in which case the payment of any fees shall be decided by the AAA Rules. Any request for payment of fees by NerdWallet should be submitted by mail to the AAA along with your Demand for Arbitration and NerdWallet will make arrangements to pay all necessary fees directly to the AAA. In the event the arbitrator determines the claim(s) you assert in the arbitration to be frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), you agree to reimburse NerdWallet for all fees associated with the arbitration paid by NerdWallet on your behalf that you otherwise would be obligated to pay under the AAA’s rules.

If your claim is for $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a non-appearance based telephonic hearing, or by an in-person hearing as established by the AAA Rules. Any in-person arbitration hearings will take place at a location to be agreed upon in San Francisco County, California. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator’s ruling on the merits.

F. No Class Actions. You and NerdWallet agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Unless both you and NerdWallet agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

G. No Punitive Damages. In any arbitration arising out or related to these Official Rules, the arbitrator(s) may not award any incidental, indirect or consequential damages, including damages for lost profits.

H. Opt-Out.  If you are a new NerdWallet user, you can choose to reject the arbitration agreement contained in this Section 12 (“opt-out”) by mailing us a written opt-out notice (“Opt-Out Notice”).  The Opt-Out Notice must be postmarked no later than thirty (30) days after the date you accept these Official Rules. If, for any reason, the Sweepstakes is not capable of running as planned, Sponsor may, in its sole discretion, void any suspect entries and (a) cancel or terminate the Sweepstakes (or any portion thereof); (b) modify the Sweepstakes or suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; and/or (c) award the prize at random from among the eligible, non-suspect entries received up to the time of the impairment.  You must mail the Opt-Out Notice to the Notice Address listed in Section 12(D), above.   The Opt-Out Notice must contain your name, address (including street address, city, state and zip code), and the user name(s) and email address(es) associated with the NerdWallet account(s) to which the opt-out applies. You must sign the Opt-Out Notice for it to be effective.  This procedure is the only way you can opt out of the Agreement to Arbitrate. If you opt out of the Agreement to Arbitrate, all other parts of the Official Rules will continue to apply to you. Opting out of this Agreement to Arbitrate has no effect on any previous, other, or future arbitration agreements that you may have with NerdWallet.

  1.  Winners List

To request a list of winners available after December 15, 2017, mail a self-addressed, stamped envelope to:  NerdWallet, Inc., ATTN: NerdWallet Rewards Sweepstakes, 875 Stevenson Street, 5th Floor, San Francisco, CA 94103.  Sponsor will send a list of all past winners as of the date the request was received.
